Terms of Service

ThutaTech services are currently in private beta: public sign-up is closed and no paid plans are on sale yet. Statements about accounts and billing describe how the Services will operate at public launch.

TERM-01 — Agreement and operator
These Terms of Service ("Terms") govern your access to and use of the ThutaTech Ecosystem, operated by ThutaTech ("ThutaTech", "we", "us"), located in Japan. By creating an account or using any ThutaTech product, you agree to these Terms, the Acceptable Use Policy, the applicable Product Terms, and — for paid plans — the Refund & Cancellation Policy.
TERM-02 — The Services
ThutaTech provides a connected set of AI-powered software products, including:
- Account Center (account.thutatech.com) — account, subscription, and credit management
- Thuta App Builder — AI-assisted generation of web and mobile app projects
- Thuta Studio — AI-assisted design, documents, and media
- Thuta Flow — workflow automation
- Thuta Agent — mission-based AI agent (pre-release)
- Thuta IDE — local-first desktop code editor
together, the "Services". Product-specific supplements are in the Product Terms. Additional products may be added and will be governed by these Terms unless stated otherwise.
TERM-03 — Accounts and eligibility
You must provide accurate information when registering and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old (provisional pending legal review) to use the Services. One person may not maintain multiple free accounts to circumvent usage limits. One ThutaTech account provides access to the connected products according to your plan and entitlements.
TERM-04 — Beta and experimental features
Some Services or features are offered as private beta or experimental features. During a beta: features may change, be interrupted, or be removed; access may require an access code; and we may limit seats or suspend access for stability reasons. Beta feedback you provide may be used to improve the Services without obligation to you. During the private beta phase before public launch, accounts and stored data — including projects, credits, and usage history — may be reset or cleared as part of a planned clean-slate reset; where practicable we will give advance notice. Data handling during betas follows the Privacy Policy.
TERM-05 — Subscriptions, plans, and credits
5.1 Plans. Access is provided through subscription plans. Each paid plan includes a monthly credit allowance used for AI-powered actions across products.
5.2 Nature of credits. Credits are a usage allowance included in your plan. Credits are not money, not stored value, and not a prepaid payment instrument; they reset each billing cycle, do not roll over, are non-transferable, and cannot be redeemed for cash. If ThutaTech begins selling credit top-ups separately, that sale will be governed by additional disclosed terms (no such sale is currently offered).
5.3 Credit consumption. Actions consume credits at the rates shown inside the Services, which may be adjusted with notice. If an AI action fails due to a fault in our Services, the reserved credits for that action are automatically returned.
5.4 Payment. Paid plans are billed in advance via PayPal, in United States dollars (USD). Prices are shown before purchase. You authorize recurring billing until you cancel. Taxes may apply depending on your location.
5.5 Changes to plans. Upgrades take effect immediately with the new allowance. Downgrades take effect at the start of the next billing cycle. We may change plan pricing or allowances with at least 30 days' notice, applying from your next billing cycle.
5.6 Cancellation. You may cancel at any time from the Account Center. Cancellation stops future billing; you retain access until the end of the paid period. Refund terms are in the Refund & Cancellation Policy.
TERM-06 — Your content and generated output
6.1 Your Input. You retain all rights to content you submit (prompts, files, projects, workflow configurations) ("Input"). You grant us a limited license to process Input solely to operate and provide the Services.
6.2 Output. Subject to your compliance with these Terms and applicable law, we assign to you our rights, if any, in output generated for you by the Services (text, designs, documents, application code) ("Output"). You are responsible for how you use Output.
6.3 Limits on Output. AI-generated Output may be inaccurate, incomplete, or similar to output generated for other users, and is not professional advice. You must review Output before relying on it or distributing it, and you are responsible for verifying that your use of Output does not infringe third-party rights or violate law. Generated application code is provided without warranty of security, fitness, or correctness; review and test before production use.
6.4 Our use of content. We do not use your Input or Output to train our own AI models. Input may be processed by third-party AI providers as described in the AI Data Use Policy.
TERM-07 — Acceptable use
Use of the Services is subject to the Acceptable Use Policy. We may suspend or terminate accounts that violate it; where practical we will notify you and give you an opportunity to remedy the violation.
TERM-08 — Third-party services
The Services depend on third-party providers (hosting, authentication, payment, AI model providers, integration platforms). We are not responsible for outages or changes caused by third parties, but will use reasonable efforts to maintain continuity. Where you connect third-party accounts (for example in Thuta Flow), your use of those platforms remains subject to their terms.
TERM-09 — Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, create security or legal risk, or fail to pay. You may delete your account at any time via the Account Center. Upon termination, your right to use the Services ends; TERM-06.3, TERM-10, TERM-11, TERM-12, and TERM-13 survive.
TERM-10 — Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", ESPECIALLY DURING BETA PERIODS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE.
TERM-11 — Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, AND WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. WHERE THE JAPANESE CONSUMER CONTRACT ACT APPLIES, LIABILITY FOR DAMAGE CAUSED BY OUR INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE IS NOT EXCLUDED OR LIMITED.
TERM-12 — Indemnification
You will indemnify us against third-party claims arising from your Input, your use of Output, or your breach of these Terms, except to the extent caused by our own breach.
TERM-13 — Governing law and disputes
These Terms are governed by the laws of Japan. The Tokyo District Court (draft venue, subject to professional legal review) shall have exclusive jurisdiction as the court of first instance, except where mandatory consumer-protection rules provide otherwise. The English version is currently the reference text; the controlling-language clause will be finalized at legal review.
TERM-14 — Changes to these Terms
We may update these Terms. For material changes, we will notify you through the Services before they take effect, and where required, ask you to re-accept. Version history is available in the Legal & Trust Center.
